These conditions regulate participation in the Nod affiliate program (the "Program"), managed by WANDA LABS S.L. (“Nod”).
1. Who can participate
Any natural person of legal age or legal entity that registers with truthful information and accepts these conditions. Nod Customers can also participate from Settings → Plans. Nod may reject or cancel registrations that do not comply with these conditions.
2. Registration
You sign up for https://app.thenodai.com/afiliados with your name and email. You instantly receive your affiliate link and the link to your affiliate page. Save that link- Gives access to your page without a password, so don't share it.
3. Valid referrals
A referral is valid when a new business, which was not a Nod Client, registers on the Platform using your affiliate link and pay your subscription. Attribution is determined by the link used at the time of registration. There are no cookies or attribution for previous clicks.
The following are not considered valid referrals:
- Your own business or businesses of which you are the owner, partner or administrator.
- Businesses that were already Clients or that signed up without your link.
- Registrations obtained through prohibited practices (section 7).
4. Normal Affiliate Commission
- You receive the 30% of the eligible net base of Operations and Nod AI subscriptions of the referred business during its first 12 months, counted from your first payment.
- Net eligible base: eligible Operations or Nod AI subscription amount actually collected after discounts, excluding VAT and other taxes, less returns, chargebacks and processing costs directly attributable to that collection. Internal costs, salaries and general expenses are not deducted. A deduction is never applied twice and the minimum basis for each charge is zero.
- Implementation services, extras, failed charges or free amounts do not generate commission, unless otherwise agreed in writing. If an invoice mixes common concepts, discounts and costs, they are assigned proportionally to their amounts without taxes.
- The first year is a window of twelve months from the first Operations payment. In annuities or periods that cross their end, only the part of the service included in that window counts; Pauses, changes and reactivations do not restart it.
- Indicative example: €149 of Operation charged with a VAT of 21% includes €25.86 of VAT. Subtracting €2.50 from hypothetical processing, the base is €120.64: general fee €36.19 (30%) or eligible subaccount fee €60.32 (50%). It is calculated precisely and rounded to the nearest cent at settlement; Actual costs vary.
- If a payment is refunded, voided, or results in a chargeback, the applicable fee is waived or deducted from future payments.
- After 12 months no more commissions are generated for that business.
4 bis. Nod AI Plan Commission
The affiliate commission applicable to the Nod AI Launch, Growth and Scale plans is 30% of the amount eligible for commission, understood as the eligible net base defined in section 4 and in accordance with the general conditions of the program.
This percentage applies equally to hires attributed to affiliates through referral links and to Nod AI hires made by accounts or sub-accounts managed by consultants. The 50% percentage provided for certain trading platform subaccounts does not apply to Nod AI plans.
Nod AI plans are additional to the operating platform plan. If a contract includes both products, the commission for each one is calculated separately: the operating platform maintains the corresponding percentage and the Nod AI part applies 30%. 50% is not calculated on a joint invoice that includes Nod AI nor are two commissions accumulated on the same item.
Example: for every €100 of eligible Nod AI amount there is a €30 commission. This is an eligible base, not the price with VAT or a new definition on taxes, discounts or refunds.
The other conditions of eligibility, duration of twelve months, settlement, refund and exclusion from the program continue to apply. Hiring Nod AI does not reset the twelve-month window. This rule does not retroactively modify historical commissions.
5. Payment of commissions
- Commissions are paid by transfer to your payment collection account. Stripe Connect, which you connect from your affiliate page.
- The registration of the collection account, including verification of identity and bank details, is carried out directly by Stripe. By connecting you agree to the Stripe Connected Account Agreement (https://stripe.com/connect-account/legal).
- Each commission is pending for 30 days from collection. Annual payments are accrued for months of service within the first year, without anticipating the commission for the full twelve months.
- Eligible commissions from the previous month are settled monthly, within the first 15 calendar days, provided that the collection account and tax documentation are complete. There is no minimum payment threshold. If documentation is missing or the account is not enabled, the balance remains pending until it is regularized.
- Returns and disputes only affect the corresponding commission. If it has already been paid, it is offset against future settlements or a refund of the documented excess is requested. Undisputed amounts continue.
- Nod is not responsible for delays or blockages derived from Stripe or your bank.
6. Taxes
You are responsible for declaring and paying the taxes corresponding to the commissions received and, if applicable, for issuing an invoice to Nod in accordance with applicable regulations. Nod may request the necessary tax information from you.
7. Prohibited practices
- Send spam or commercial communications without consent.
- Make false or misleading claims about Nod, its features or pricing, or promise results.
- Bid on search advertising for the brand “Nod”, “Nod” or variants, or use the brand in domains, profiles or advertisements that could be confused with official ones.
- Offer unauthorized incentives, such as refunding part of the referral's subscription.
- Self-refer or create fictitious accounts.
- Any practice contrary to the law or the Acceptable Use Policy.
Failure to comply may result in the loss of the affected commissions and termination of the Program.
8. Use of the trademark
You can mention Nod to truthfully promote the Platform. You may not modify its logo or imply that you are acting on behalf of Nod.
9. Relationship between the parties
Participation in the Program does not create an employment, agency, partnership or representation relationship between you and Nod. You may not contract or assume obligations on behalf of Nod.
10. Coaches, consultants and info producers with Subaccounts
Coaches, consultants and infoproducers with a plan that includes Subaccounts receive the 50% of the eligible net operating base of each Subaccount during its first year. The same calculation basis, twelve-month window and settlement of sections 4 and 5 apply. The subaccount must belong to a client independent of the professional and be linked to him when contracting; own businesses, fictitious accounts or retroactive attribution changes are not included. Each Subaccount is an independent business and pays its own subscription. A recommendation made through the general affiliate link belongs to the 30% program, even if the recommender is a consultant. The two percentages do not accumulate on the same subscription. The Nod AI add-on generates a 30% commission on your own eligible net base, also on professional sub-accounts. The 50% only applies to Operations. Hiring Nod AI does not reset the business's twelve-month window; The window in section 4 applies.
11. Data protection
Nod processes your data as the controller to manage the Program and pay you commissions, in accordance with the Privacy Policy. On your affiliate page you will only see the information necessary for each referred business to verify your commissions.
12. Modification and end of the Program
Nod may modify these conditions or terminate the Program by giving at least 30 days advance notice. Commissions generated by valid referrals before that date will be respected in accordance with the conditions in force when they were generated.
13. Applicable law
These conditions are governed by Spanish legislation. The parties submit to the Courts and Tribunals of Barcelona, unless otherwise required.
Transparent recommendations
When recommending Nod or sharing an affiliate link, clearly and conspicuously disclose your financial relationship with Nod near the recommendation and before the audience decides to purchase. Use the same language and medium as the recommendation. For example: “I earn a commission if you purchase through this link.” This requirement also applies to promotions directed at the United States.
Do not fabricate testimonials or reviews, present someone else’s experience as your own, or make unsupported earnings claims. These requirements do not change commission rates, duration, calculation basis, or any other financial terms of the program.
